Terms and Conditions for BTR WEBDESIGN

1. Scope

1.1 These General Terms and Conditions (GTC) apply to all business relationships between BTR WEBDESIGN (Link: https://btr-webdesign.netlify.app ) (hereinafter "we" or "us") and our customers (hereinafter "customer" or "you") .

1.2 Any deviating, conflicting or supplementary terms and conditions of the customer shall not become part of the contract unless their validity is expressly agreed to in writing.

2. Conclusion of contract

2.1 Our offers are subject to change and non-binding. A contract is only concluded upon our written order confirmation or upon the provision of the service.

2.2 The customer is bound to his or her order for two weeks. We are entitled to accept the contractual offer contained in the order within this period.

3. Services

3.1 We provide web design services, including the design, programming and maintenance of websites and other digital services.

3.2 The exact scope of the services to be provided will be specified in the respective individual order.

4. Customer’s duty to cooperate

4.1 The customer shall provide us with all documents, information and data required for the execution of the order in a timely and complete manner.

4.2 The customer is obliged to provide all cooperation services required to carry out the order in a timely manner and in the agreed form.

5. Remuneration and payment terms

5.1 The remuneration for our services is determined in each individual order. All prices are exclusive of statutory VAT.

5.2 Payments are due within 14 days of invoicing without deduction, unless otherwise agreed.

5.3 If the customer defaults on payment, we are entitled to charge default interest at a rate of 5% above the respective base interest rate of the European Central Bank.

6. Acceptance and warranty

6.1 The customer is obligated to accept the contractually provided services within 14 days of notification of completion. If no acceptance occurs within this period, the services shall be deemed accepted.

6.2 We guarantee that the services provided comply with the contractual agreements. In the event of defects, we are entitled, at our discretion, to repair or replace the goods.

7. Liability

7.1 We are liable for damages caused by intentional or grossly negligent conduct. In cases of slight negligence, we are only liable for breaches of a material contractual obligation (cardinal obligation) and are limited to the damages typical for the contract and foreseeable at the time the contract was concluded.

7.2 Liability for indirect and consequential damages, in particular loss of profit, is excluded.

8. Copyright and rights of use

8.1 All works created within the scope of the order (including designs, graphics and programming) remain our intellectual property.

8.2 The customer shall receive a simple, non-transferable right of use to the created works, insofar as this is necessary to fulfil the purpose of the contract.

9. Confidentiality

9.1 Both parties undertake to keep all confidential information obtained within the framework of the contractual relationship secret and to use it only for the purposes of the respective order.

9.2 This obligation shall also apply after termination of the contractual relationship.

10. Final provisions

10.1 The law of the Federal Republic of Germany shall apply, excluding the UN Convention on Contracts for the International Sale of Goods.

10.2 The place of jurisdiction for all disputes arising from the contractual relationship is, to the extent permitted by law, our registered office (Santa Cruz de la Sierra, Bolivia) .

10.3 Should individual provisions of these Terms and Conditions be or become invalid, the validity of the remaining provisions shall remain unaffected.
